  4. We make no warranty that this site will be available at all times, error-free, or free of harmful components.

10. Indemnification

You agree to indemnify and hold harmless Michael Parry operating as OfferPlaybook, its operators, affiliates, and any associated persons from any claim, loss, damage, cost, or expense (including legal fees) arising from your use of this site in violation of these Terms or any applicable law.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of New Brunswick and the federal laws of Canada applicable therein, without regard to any conflict-of-law principles.

Any dispute arising from these Terms or your use of this site shall first be referred to mediation. If mediation fails within 60 days of written notice, the dispute shall be resolved by binding arbitration in Moncton, New Brunswick, in accordance with the arbitration laws of New Brunswick. The language of arbitration shall be English. Either party may seek injunctive relief in any court of competent jurisdiction.

UK consumer rights carve-out: Nothing in this section affects the statutory rights of UK consumers under the Consumer Rights Act 2015 or other applicable UK consumer protection law. UK consumers may bring proceedings in the courts of their place of residence.

12. Modifications to These Terms

We may update these Terms at any time. The "Effective date" at the top of this page will reflect any changes. We will notify newsletter subscribers of material changes. Continued use of the site after the effective date of any update constitutes acceptance of the updated Terms.

13. Severability

If any provision of these Terms is found to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
